CAREFULLY READ THE TERMS OF SERVICE (“AGREEMENT”) WHICH GOVERN THE USE OF XAM GUIDE PRIVATE LIMITED (THE “COMPANY”) SERVICES MADE AVAILABLE THROUGH THE COMPANY’S PROPRIETARY APPLICATION ‘IYAL’ (THE “PLATFORM”) AND BY CLICKING ON THE “I AGREE TO THE TERMS OF SERVICE AND PRIVACY POLICY,” BUTTON, YOU (“YOU” OR “YOUR” OR “USER”) ARE INDICATING THAT YOU HAVE READ, UNDERSTOOD AND ACCEPTED THIS AGREEMENT ALONG WITH THE PRIVACY POLICY AND ANY OTHER GUIDELINES, SUPPLEMENTAL TERMS, POLICIES AND DISCLAIMERS ISSUED BY US FROM TIME TO TIME WITH THE COMPANY(“WE,” “US,” OR “OUR”), AND THAT YOU AGREE TO BE BOUND BY ITS TERMS.

THE EFFECTIVE DATE OF THIS AGREEMENT SHALL BE THE DATE THAT YOU ACCEPT THIS AGREEMENT IN THE MANNER. IF YOU DO NOT AGREE WITH ALL THE TERMS OF THIS AGREEMENT, YOU MAY NOT USE XAM GUIDE SERVICES.

Xam Guide’s app, Iyal, is an innovative AI-powered learning platform, singularly focused on supporting students to achieve exam success and content mastery. By transforming users' uploaded documents into a personalized, intelligent learning ecosystem, Iyal directly addresses the challenge of effective exam preparation.

1. Platform services

The Platform offers a suite of features designed to enhance user experience and support educational objectives (“Services”). By using the Platform, you acknowledge and agree to the availability and functionality of services, subject to change or enhancement at the Company's discretion.

The Platform is built on three core pillars designed for optimal student performance:

• Study: Automated generation of smart study guides to simplify complex information and enhance comprehension.

• Practice: Creation of comprehensive practice questions directly derived from the user's uploaded documents, ensuring targeted preparation.

• Revise: Development of dynamic flashcards for efficient knowledge retention and effective review.

2. User Account and Registration

2.1 To access and use the Platform, you must create an account through the registration/sign-up process.

2.2 By completing the sign-up process, you agree to abide by these Terms of Service, Privacy Policy and associated policies, accessible via the registration interface.

2.3 Registered users can log in using their email address and password via the Platform’s 'Sign In' feature.

2.4 You shall be entirely responsible for maintaining the confidentiality of the login ID and its password. The Company takes no responsibility, and you shall indemnify us for any or all consequences caused by any unauthorised use of your account by any third party.

2.5 You can edit and manage your personal account information via the Profile section. This includes the ability to view and update your name, preparation objective, and optional personal information.

3. Subscription terms

3.1 You can access the Platform’s services through a multi-tiered paid subscription, which includes integrated payment processing and flexible plan options. Each subscription tier may come with specific limits, such as file size or page count restrictions for uploads. Full details are available on our Subscription page.

3.2 The Company may, at its sole discretion, change the Fee structure/cost/subscription plan at any time without prior intimation. Add-ons to the fees, such as but not limited to taxes and other levies on the subscription service, shall be paid as per the governing law from time to time.

3.3 You may view your current subscription details, upgrade plans, and access your usage history and past transactions. This includes plan type, usage statistics, billing history, and payment statuses.

3.4 The Subscription is of a personal nature and is solely for the benefit of the person subscribing and is not allowed to be resold by you or transferred to or shared with any other person for consideration or otherwise. In the event we get to know that you have resold/transferred/shared the Subscription with another person, the Company retains the right to cancel/terminate the Subscription forthwith.

4. Cancellation and Refund Policy

4.1 You may cancel your subscription at any time through your account settings on the Platform. Please note that cancellation will take effect at the end of your current billing cycle. This means your subscription will not renew for the next cycle, but you will retain access to subscription benefits until the current period expires.

4.2 Once you subscribe and make the required payment for any online subscriptions, it shall be final and there cannot be any changes or modifications to the same, and neither will there be any refund on any ground, including non-usage of the service.

4.3 Upon cancellation, access to features available under your subscription may be revoked. However, your user account will remain active on the Platform unless you choose to delete it separately.

5. Content upload and management guidelines

5.1 You are permitted to upload documents as study materials. Please refer to our supported documents page for details.

5.2 You shall not upload password-protected or encrypted documents/files, documents with access restrictions, or URLs linking to protected content, as the Platform is unable to process such files.

5.3 You shall not upload content that includes hate speech, sexually explicit material, harassment, violent or dangerous content, or content related to civic integrity issues, as the AI system may be unable to process or generate outputs from such materials.

5.4 You can create custom modules (folders) to organise your study materials and may also rename any files you have uploaded for better clarity and structure.

5.5 You can move files and modules to the "Bin," where they will be retained for 30 days before being permanently deleted. During this period, you have the option to either restore or permanently delete the items.

6. Operational requirements and Limitations

6.1 You must have an active internet connection for all features of the Platform to function properly.

6.2 The Platform may be unable to accurately extract or display complex tables, formulae, images, or documents with non-standard layouts.

6.3 If a document consists solely of images, text extraction may not be possible.

7. Disclaimers and warranties

7.1 We strive to provide uninterrupted access to our Services, but we do not guarantee that our Services will be available at all times or free from errors, bugs, or other defects.

7.2 The Platform and its services, including all AI-generated content, are provided on an “as is” basis. The Company makes no warranties, express or implied, regarding the accuracy, completeness, reliability, legality, or fitness for a particular purpose of any AI-generated output.

7.3 You acknowledge that generative AI is an emerging technology developed using existing data models and may not always produce accurate, safe, or legally compliant results. The technology operates within defined parameters but may still generate incomplete, inappropriate, or incorrect content. While we endeavor to enhance the accuracy, reliability, and safety of the AI Services through continuous improvement and feedback, it does not guarantee the correctness, suitability, or legality of any output generated.

7.4 You are solely responsible for the use of any content generated by the AI Services and must independently verify such content before reliance or use. This includes ensuring compliance with all applicable laws, regulations, industry standards, and ethical considerations.

8. Limitation of liability

8.1 To the fullest extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

(i) your access to or use of or inability to access or use the Platform;

(ii) any conduct or content of any third party on the Platform;

(iii) any content obtained from the Platform; and

(iv) unauthorised access, use, or alteration of your transmissions or content,

whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

9. Intellectual Property

9.1 Your use of the Platform Services must not infringe upon, misappropriate, or otherwise violate any third-party intellectual property rights. To comply with this, you must ensure that all data, content, information, or other materials you use with the AI Services of the Platform are either owned by you or properly licensed to you under terms or a license free that allows their use with these Services.

9.2 Our Services are designed to support learning and academic achievement. You agree to use our Services in a manner consistent with academic integrity policies and not for cheating, plagiarism, or other academic misconduct.

9.3 When using the Platform’s services, you agree not to:

(i.) Publicly perform or display the content, in whole or in part, as part of any event, performance, or presentation, even if it is non-commercial, unless such use is legally permissible (e.g., not infringing copyright or other rights) or expressly authorised by the Company in accordance with specific terms.

(ii.) Sell, rent, lease, distribute, broadcast, transmit, share, sublicense, transfer, or assign any content to third parties, including any content you may have downloaded, unless explicitly permitted and only in the exact manner described by the Company.

(iii.) Use any stream-ripping, screen recording, or similar technology to copy or reproduce content that is provided to you through the Platform’s services.

(iv.) Make the content available for shared or multi-user access, including through libraries, institutions, or similar arrangements.

(v.) Attempt to bypass, disable, or tamper with any security features or access restrictions that are built into the Company’s platform or its content, or assist others in doing so.

(vi.) Alter or remove watermarks, copyright notices, labels, or other proprietary markings embedded in any content, or modify content in a way that misrepresents or conceals its original source or ownership.

9.4 The Company provides a public-facing and accessible mechanism for users or third parties to report suspected copyright infringement or intellectual property violations.

9.5 Upon investigation, the Company may take appropriate actions, including, but not limited to:

(a) Content takedown;

(b) Issuing warnings to users;

(c) Temporary or permanent suspension of user accounts.

10. Rights in Website Content and User Data

10.1 The content (content being images, text, sound and video files, programs and scripts) of the Platform is the copyright of Xam Guide Pvt. Ltd. All rights are expressly reserved. The Company reserves the right to use your information and details for its online and offline promotions.

10.2 You acknowledge and agree that all intellectual property rights, including trademarks and logos of the Company and the Platform, shall vest in the Company, and you shall not indulge in any act that construes that such trademarks and logos of the Company belong to you.

11. Indemnity

11.1 Under no circumstances shall the Company, its directors, employees, associates, or partners be held liable to you for any loss or damage arising from or related to these Terms, the use of this Platform, or the utilization of any Services provided by third-party service providers.

11.2 You agree to indemnify and hold harmless the Company, along with its directors, employees, associates, partners, and suppliers, against all liabilities, including claims, damages, legal suits, or expenses incurred in defence, resulting from:

(i) The use or misuse of the Platform;

(ii) Failure to fulfill or comply with the duties and obligations outlined in these Terms, or any actions or omissions;

(iii) Any act of negligence, misconduct, or fraud.

12. Third-party terms

12.1 The services offered through the Platform may include technologies developed and provided by third parties. Where such third-party technologies are integrated, we do not make any guarantees or representations regarding their safety, reliability, or suitability for your specific use.

12.2 The Platform may also connect or integrate with other third-party services, such as payment gateways. Your use of these services is governed by the respective third party’s terms and privacy policies, and not by the Company.

12.3 Additionally, some links provided on the Platform may redirect you to websites or resources maintained by unrelated third parties. These external sites are outside the control of the Company, and we do not endorse or guarantee the availability, accuracy, legality, or quality of any content, goods, or services offered on such sites. Your access to and transactions with these third-party services are entirely at your own risk, and the Company disclaims any liability for loss, damage, or harm, direct or indirect, arising from such interactions, including potential violations of applicable laws.

13. Service Availability

13.1 The Company endeavours to provide uninterrupted service through its Platform; however, it does not guarantee continuous availability and may suspend or modify services for maintenance, upgrades, or unforeseen circumstances.

13.2 You acknowledge that the Platform may experience occasional downtime, and the Company shall not be liable for any resulting inconvenience or loss.

14. Feedback, Support, and Grievance

14.1 If you provide feedback, ideas, or suggestions regarding our Services ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, non-exclusive, royalty-free right to use the Feedback in any manner and for any purpose.

14.3 To report any grievance relating to infringement or other legal issues, write to [email protected].

15. Severability

15.1 If any provision of these Terms of Service is found to be unlawful, void, or unenforceable, that provision shall be enforced to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms of Service. This determination shall not affect the validity and enforceability of any other remaining provisions.

16. Governing Law and Jurisdiction

16.1 These Terms of Service, Privacy Policy, and any agreement/s whereby we provide you Services shall be governed by and construed in accordance with the laws of India, and the jurisdiction shall be the Courts of Coimbatore, State of Tamil Nadu.

17. Entire Agreement

17.1 The Terms hereto shall constitute an entire agreement and shall supersede all existing or prior agreements and communications, whether written or verbal, relating to the subject matter.

18. Change of Terms

18.1 The Company reserves the right to retain, at its sole discretion, to modify or amend the Terms and any related policies at any time. The Company will notify you on the Platform about any changes, updates, amendments, revisions, or modifications made to the Terms and related policies. Continued access or use of the Platform following such updates indicates your acceptance of the revised Terms. Please revisit this page periodically to stay informed about the latest version of the Agreement.

19. Assignment

19.1 You shall not assign your rights under the Terms to anyone without the prior approval of the Company.
